Terms of Use

These Terms of Use ("Terms") govern your access to and use of the websites, digital products, membership services, community features, content, and other services offered by Obsidian Capital Holdings LLC, doing business as Slime Obsidian ("Slime Obsidian," "we," "us," or "our"), including The Lab (collectively, the "Services").

Please read these Terms carefully. By creating an account, purchasing a product or membership, accessing The Lab, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use the Services.

1. ELIGIBILITY

You must be at least 18 years old to create an account, purchase a membership, or otherwise enter into an agreement with Slime Obsidian through the Services.

The Lab is intended for adult account holders. An adult account holder may use Slime Obsidian content with a child under the adult's supervision, but individuals under 18 may not independently create or maintain an account.

By creating an account or purchasing a membership, you represent that you are at least 18 years old and legally capable of entering into these Terms.

2. ACCOUNTS

Certain Services require an account.

You agree to provide accurate information and to keep your account information reasonably current. You are responsible for maintaining the security and confidentiality of your login credentials and for activity occurring through your account.

Your account and login credentials are intended for your personal use and for people with whom you personally use or share the Services. You may not distribute, publish, sell, transfer, or otherwise provide your login credentials to others for the purpose of allowing unauthorized access to paid Slime Obsidian content.

You must notify us promptly if you believe your account has been accessed or used without authorization.

We may restrict, suspend, or terminate accounts that we reasonably believe are being shared, sold, misused, compromised, or used in violation of these Terms.

3. THE LAB MEMBERSHIP

The Lab is Slime Obsidian's subscription membership service and may include access to features and content such as:

• The Drop;
• The Archive;
• The School;
• Slime Sesh;
• The Lab Community;
• Slime formulas and recipes;
• Videos, tutorials, stories, guides, and educational materials;
• Shopping lists and product recommendations; and
• Other membership features introduced from time to time.

The specific content, features, formats, release schedules, frequency, and availability of The Lab may change.

Slime Obsidian does not guarantee that any particular feature, formula, video, event, content category, release schedule, or quantity of content will remain available indefinitely.

We may add, modify, replace, temporarily suspend, or discontinue individual features or content as The Lab evolves.

4. SUBSCRIPTIONS, BILLING, AND AUTOMATIC RENEWAL

The Lab may be offered through monthly, annual, or other subscription plans.

The price and billing frequency applicable to your membership will be disclosed when you subscribe.

YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH APPLICABLE BILLING PERIOD UNLESS YOU CANCEL IT BEFORE YOUR NEXT RENEWAL, SUBJECT TO APPLICABLE LAW.

By purchasing a recurring subscription, you authorize Slime Obsidian and its payment processor to automatically charge your selected payment method for the applicable subscription price, taxes, and any other charges disclosed to you at the time of purchase at each renewal.

If your payment method cannot be charged, we may attempt to process the payment again, request updated payment information, restrict access to the Services, or suspend or terminate the subscription.

Payments may be processed by third-party payment processors such as Stripe. Your use of their payment services may also be subject to their applicable terms and policies.

5. PRICE CHANGES

We may change the price of The Lab or other Services from time to time.

A price change will not retroactively change the price of a billing period you have already paid for. For existing recurring subscriptions, changes will take effect at a future renewal after any notice required by applicable law.

You may cancel your subscription before a price change takes effect if you do not wish to continue at the new price.

6. CANCELLATION

You may cancel a recurring Lab subscription at any time using the cancellation method made available through your account or through another method provided by Slime Obsidian.

Unless otherwise stated at the time of cancellation, cancellation takes effect at the end of your current paid billing period. You will generally retain access to The Lab through the remainder of that paid period.

Cancellation prevents future renewals. It does not ordinarily result in a refund of amounts already charged.

We will provide cancellation methods and renewal notices as required by applicable law.

7. REFUNDS

Except where required by law, payments for subscriptions, digital products, and other Services are generally non-refundable once charged.

This includes subscription renewal charges and periods in which a member used only part of the available membership term.

Because digital products and The Lab may provide immediate access to proprietary recipes, formulas, videos, archives, and other digital content, purchasing and accessing such content does not create a general right to a refund.

Slime Obsidian may, in its sole discretion, issue a refund, credit, or other accommodation in circumstances such as duplicate charges, billing errors, significant technical problems, or other exceptional situations.

Any discretionary refund or credit in one circumstance does not create an obligation to provide the same accommodation in another circumstance.

If your account is suspended or terminated because you violated these Terms, the Community Rules, or other applicable Slime Obsidian policies, you are not entitled to a refund for any unused portion of your membership except where required by law.

8. FREE TRIALS AND PROMOTIONS

From time to time, Slime Obsidian may offer free trials, promotional pricing, discounts, or other special offers.

If Slime Obsidian offers a free or promotional trial, the terms presented with that offer will apply.

Promotional offers may be limited by eligibility, duration, location, account, or other conditions disclosed with the offer.

9. OWNERSHIP OF SLIME OBSIDIAN CONTENT

The Services and the content made available through them are owned by or licensed to Slime Obsidian and are protected by intellectual property and other applicable laws.

This includes, without limitation:

• Slime formulas and recipes;
• Ingredient combinations, instructions, presentations, and written materials;
• Videos and tutorials;
• Photographs and artwork;
• Graphics and designs;
• PDFs and downloads;
• Stories and editorial content;
• Website and membership content;
• The Lab content and materials;
• Slime Obsidian names, product names, logos, trademarks, and branding; and
• Other original content made available through the Services.

Except for the limited rights expressly granted in these Terms, no rights in Slime Obsidian's intellectual property are transferred to you.

10. LIMITED PERSONAL LICENSE

When you purchase a digital product or maintain an active Lab membership, Slime Obsidian grants you a limited, revocable, non-exclusive, non-transferable license to access and use the applicable content for your personal, non-commercial use, subject to these Terms.

You may use Slime Obsidian recipes and formulas to make slime for yourself or for personal use with friends or family.

You may share photographs or videos of slime you personally create, provided that doing so does not disclose, reproduce, teach, or distribute Slime Obsidian's proprietary formula, recipe, quantities, instructions, or other protected content.

Your purchase of a membership or digital product does not transfer ownership of the underlying content or intellectual property.

11. FORMULAS, RECIPES, AND COMMERCIAL USE

Slime Obsidian's formulas, recipes, instructions, product concepts, names, and related materials are provided for personal, non-commercial use unless Slime Obsidian expressly authorizes otherwise in writing.

You may not, without Slime Obsidian's prior written permission:

• Sell slime made using a Slime Obsidian formula or recipe;
• Manufacture Slime Obsidian slime products for commercial sale;
• Sell, license, publish, distribute, or otherwise provide a Slime Obsidian formula or recipe to another person;
• Share recipe quantities, ingredient proportions, instructions, screenshots, PDFs, videos, or other proprietary instructional material;
• Upload or reproduce Slime Obsidian formulas on a website, social platform, forum, marketplace, course, video, or other medium;
• Create or sell tutorials, courses, PDFs, guides, or other materials that reproduce or teach Slime Obsidian formulas;
• Claim a Slime Obsidian formula or recipe as your own;
• Use Slime Obsidian's product names, formula names, trademarks, branding, logos, photographs, or other brand assets to identify or market products you sell;
• Sell products under Slime Obsidian product or formula names; or
• Use your access to The Lab or other Slime Obsidian materials to operate a competing formula, recipe, or instructional service.

Nothing in these Terms prevents you from independently creating your own original slime products, formulas, content, or business, provided that you do not copy, distribute, commercially exploit, or misrepresent Slime Obsidian's protected content, names, branding, or intellectual property.

12. THE LAB COMMUNITY

The Lab may include a members-only Community where members can post, comment, interact, and share content.

Participation in the Community is subject to these Terms and any Community Rules made available within The Lab.

You agree to treat other members respectfully and not to use the Community to engage in harassment, threats, discrimination, unlawful conduct, spam, impersonation, infringement, disclosure of another person's private information, or other conduct prohibited by the Community Rules or these Terms.

Slime Obsidian may moderate the Community but is not obligated to review or pre-screen every submission.

We reserve the right to remove or restrict access to any post, comment, image, account, or other content at our discretion where we reasonably believe it violates these Terms, the Community Rules, applicable law, the rights or safety of another person, or the intended operation of the Community.

We may warn, restrict, suspend, or permanently remove a member from the Community or The Lab for violations.

Termination or removal for a violation does not entitle the member to a refund except where required by law.

13. USER-GENERATED CONTENT

You retain ownership of original photographs, posts, comments, and other content that you submit to the Services ("User Content").

By submitting User Content, you grant Slime Obsidian a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, modify, adapt, publish, display, distribute, and otherwise use that User Content in connection with Slime Obsidian and its business, including:

• Operating and promoting The Lab;
• Slime Obsidian websites;
• Social media;
• Emails and newsletters;
• Advertising;
• Marketing and promotional materials; and
• Other Slime Obsidian communications and media.

This license allows us to resize, crop, format, edit, or otherwise adapt User Content as reasonably necessary for the applicable medium, provided that we do not intentionally misrepresent the substance of your submission.

You represent and warrant that you own your User Content or otherwise have all rights and permissions necessary to submit it and grant the license described above.

If your User Content includes another identifiable person, including a child, you represent that you have any permission or authority necessary to submit the content and permit its use as described in these Terms.

The license granted for User Content already used, published, incorporated into promotional materials, or otherwise distributed by Slime Obsidian may survive cancellation, account deletion, or termination of your membership.

Slime Obsidian may consider reasonable requests concerning future use of User Content but is not obligated to remove content that has already been published, distributed, incorporated into existing materials, or otherwise used pursuant to the license granted above, except where required by law.

14. PROHIBITED CONDUCT

You may not use the Services to:

• Violate any applicable law or regulation;
• Infringe another person's intellectual property, privacy, publicity, or other rights;
• Copy, reproduce, distribute, sell, or commercially exploit Slime Obsidian content except as expressly permitted;
• Share or sell unauthorized access to paid content;
• Circumvent membership, payment, authentication, or access controls;
• Scrape, crawl, systematically download, extract, or reproduce substantial portions of the Services;
• Attempt to gain unauthorized access to accounts, servers, databases, or systems;
• Introduce malicious code or interfere with the operation or security of the Services;
• Impersonate another person or misrepresent your affiliation with Slime Obsidian;
• Harass, threaten, abuse, or harm another user;
• Post unlawful, infringing, deceptive, or prohibited content; or
• Use the Services in a manner that materially interferes with another person's use of them.

15. SLIME-MAKING SAFETY AND ASSUMPTION OF RISK

Slime-making is a hands-on activity involving ingredients, materials, tools, and techniques that carry inherent risks.

Recipes and content may involve materials including glue, activators, borates or borax-containing products, fragrances, pigments, dyes, clay, foam beads, charms, powders, artificial snow, containers, and other ingredients or add-ins.

These materials may present risks including skin or eye irritation, allergic reactions, sensitivity, staining, property damage, choking hazards, accidental ingestion, or other adverse reactions if handled improperly or by a person for whom a particular material is unsuitable.

By using a Slime Obsidian recipe or participating in a slime-making activity, you acknowledge and accept the ordinary risks associated with the activity and materials used.

You are responsible for:

• Reading and following labels, warnings, and instructions provided by ingredient manufacturers;
• Determining whether ingredients are appropriate for you and anyone participating with you;
• Checking for allergies, sensitivities, or other concerns;
• Using appropriate ventilation where necessary;
• Avoiding ingestion and inappropriate eye, skin, or mouth contact;
• Keeping ingredients and small objects away from children or pets where appropriate;
• Providing appropriate adult supervision;
• Safely storing and handling ingredients and finished slime; and
• Using reasonable judgment and precautions when making or using slime.

Slime Obsidian provides recipes and educational content. Unless expressly stated otherwise, Slime Obsidian does not manufacture or control the third-party ingredients, materials, tools, or products that members purchase and use.

To the maximum extent permitted by law, you assume responsibility for your selection, handling, combination, use, and storage of such materials.

16. RESULTS MAY VARY

Slime-making results can vary based on numerous factors outside Slime Obsidian's control, including ingredient brands, formulations, measurements, activator strength, temperature, humidity, technique, storage conditions, substitutions, and individual handling.

We do not guarantee that a slime you make will exactly match the appearance, texture, consistency, scent, color, volume, stretch, inflation, longevity, or other characteristics depicted or described in Slime Obsidian content.

Recipes and instructional content are provided as guidance and educational material.

17. THIRD-PARTY PRODUCTS, LINKS, AND AFFILIATE RELATIONSHIPS

Slime Obsidian may recommend or link to ingredients, tools, products, websites, or services provided by third parties.

We do not manufacture or control third-party products and do not guarantee their availability, formulation, quality, safety, performance, or suitability.

Product formulations and availability may change without notice. You are responsible for reviewing the current instructions, warnings, ingredients, and other information provided by the manufacturer or seller.

Some links provided by Slime Obsidian may be affiliate links. This means Slime Obsidian may receive a commission or other compensation if you make a purchase through the link, at no additional cost to you.

Where appropriate, affiliate relationships will also be disclosed in connection with the applicable recommendation or content.

18. THIRD-PARTY SERVICES

The Services may integrate with or contain content provided by third parties, including payment processors, video platforms, authentication services, commerce platforms, and other technology providers.

Slime Obsidian does not control those third-party services, and your use of them may be subject to separate terms and privacy policies.

To the maximum extent permitted by law, Slime Obsidian is not responsible for the availability, security, content, products, conduct, or practices of third-party services.

19. SERVICE AVAILABILITY AND CHANGES

We work to provide reliable access to the Services, but we do not guarantee that the Services will always be uninterrupted, error-free, secure, or available.

Access may be interrupted because of maintenance, updates, technical problems, third-party outages, security events, circumstances beyond our reasonable control, or other reasons.

We may change, update, reorganize, replace, suspend, or discontinue portions of the Services at any time.

If Slime Obsidian permanently discontinues The Lab as a whole, we may provide affected prepaid members with an appropriate prorated refund, credit, continued access arrangement, or other remedy for the unused portion of a prepaid membership, where appropriate or required by law.

20. SUSPENSION AND TERMINATION

We may restrict, suspend, or terminate access to some or all of the Services if we reasonably believe that you:

• Violated these Terms or the Community Rules;
• Failed to pay amounts due;
• Shared or distributed paid content or login credentials without authorization;
• Misused Slime Obsidian intellectual property;
• Engaged in fraud, abuse, harassment, or unlawful conduct;
• Created security or technical risks;
• Harmed or threatened other members or Slime Obsidian; or
• Otherwise materially misused the Services.

Where appropriate, we may provide a warning or opportunity to correct the violation, but we are not required to do so.

Termination for violation of these Terms does not entitle you to a refund except where required by law.

Sections of these Terms that by their nature should survive termination—including intellectual property rights, User Content licenses, disclaimers, limitations of liability, indemnification, and dispute provisions—will survive.

21. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, CONTENT, RECIPES, FORMULAS, COMMUNITY, DIGITAL PRODUCTS, AND OTHER MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLIME OBSIDIAN DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE;
• ANY PARTICULAR CONTENT OR FEATURE WILL ALWAYS BE AVAILABLE;
• ERRORS OR DEFECTS WILL ALWAYS BE CORRECTED;
• INFORMATION OR CONTENT WILL BE FREE FROM ALL INACCURACIES; OR
• YOUR RESULTS FROM A RECIPE, FORMULA, PRODUCT, OR SERVICE WILL MATCH THOSE SHOWN OR DESCRIBED.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

22. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SLIME OBSIDIAN, OBSIDIAN CAPITAL HOLDINGS LLC, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSS, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF SLIME OBSIDIAN AND OBSIDIAN CAPITAL HOLDINGS LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

(A) $100; OR

(B) THE AMOUNT YOU PAID DIRECTLY TO SLIME OBSIDIAN FOR THE SERVICES DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE LIMITATIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

23. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Obsidian Capital Holdings LLC, Slime Obsidian, and their owners, officers, employees, contractors, agents, and affiliates from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

• Your violation of these Terms;
• Your unlawful or improper use of the Services;
• Your User Content;
• Your infringement or violation of another person's rights; or
• Your conduct in connection with the Services.

Slime Obsidian reserves the right to assume control of the defense of a matter subject to indemnification, in which case you agree to reasonably cooperate with the defense.

24. GOVERNING LAW

These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent federal law applies or applicable consumer law requires otherwise.

25. DISPUTE RESOLUTION AND ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO HAVE CERTAIN DISPUTES HEARD IN COURT OR DECIDED BY A JURY.

Informal Resolution

Before initiating arbitration, either party must first provide the other with written notice describing the dispute and requested resolution and allow at least 30 days for the parties to attempt in good faith to resolve the matter informally.

Notices to Slime Obsidian may be sent to slimeobsidianhelp@gmail.com with "Legal Dispute" in the subject line.

Individual Arbitration

Except for disputes eligible for small claims court and disputes concerning intellectual property or other claims for which injunctive relief may appropriately be sought in court, disputes arising out of or relating to these Terms or the Services that cannot be resolved informally will be resolved through binding arbitration on an individual basis, to the extent permitted by applicable law.

Arbitration will be administered by a recognized arbitration provider under applicable consumer arbitration rules, unless the parties mutually agree otherwise.

The arbitrator may award the same individual remedies that would otherwise be available in court, subject to applicable law and these Terms.

Small Claims

Either party may bring an eligible individual claim in small claims court instead of arbitration.

Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND SLIME OBSIDIAN AGREE THAT CLAIMS WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Jury Trial Waiver

To the extent a dispute is required to be arbitrated, you and Slime Obsidian waive the right to a trial by jury.

If any portion of this arbitration section is determined to be unenforceable, the remaining portions will remain effective to the fullest extent permitted by law, except where the unenforceable provision materially defeats the purpose of the arbitration agreement.

26. INTERNATIONAL USERS

The Services are operated from the United States.

If you access the Services from another country, you are responsible for complying with laws applicable to you.

Nothing in these Terms is intended to waive mandatory consumer rights that cannot lawfully be waived under the laws applicable to you.

27. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes to the Services, our business practices, or applicable law.

When we update these Terms, we will update the "Last Updated" date above.

If we make material changes, we may provide additional notice through the Services, by email, or through another reasonable method.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law. Where affirmative consent is required by law, we will request it.

28. MISCELLANEOUS

These Terms, together with our Privacy Policy and any additional terms or policies expressly incorporated into them, constitute the agreement between you and Slime Obsidian concerning the Services.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or other business transaction.

Headings are provided for convenience and do not affect interpretation of these Terms.
